Applicable Law, Venue and Arbitration

The site (excluding linked sites) is operated in the state of California. The site can be accessed from all 50 states and the District of Columbia, as well as from other countries around the world. As each of these places has laws that may differ from those of California, by accessing this site, both you and Lender411 agree that the statutes and laws of the State of California, without regard to conflicts of laws and principles thereof, will apply to all matters arising from or relating to use of this site.

The party requesting arbitration shall advance such sums as are required from time to time by the arbitrator to pay the arbitrator's fees and costs until the prevailing party is determined. Should a Dispute arise and should the arbitration provisions herein become inapplicable or unenforceable, or in any instance of any lawsuit between you and Lender411, jurisdiction over and venue of any suit shall be exclusively in the state and federal courts sitting in Orange County, CA.

Lender411's Remedies

You acknowledge that Lender411 may be irreparably damaged if this Agreement is not specifically enforced, and damages at law would be an inadequate remedy. Therefore, in the event of a breach or threatened breach of any provision of this Agreement by you, Lender411 shall be entitled, in addition to all rights and remedies, to an injunction restraining such breach or threatened breach, without being required to show any actual damage or to post an injunction bond, and/or to a decree for specific performance of the provisions of this Agreement. For purposes of this Section, you agree that any action or proceeding with regard to such injunction restraining such breach or threatened breach shall be brought in the courts of record of Orange County, CA or the United States District Court, Central District of California. You consent to the jurisdiction of such court and waive any objection to the laying of the venue of any such action or proceeding in such court.

Partial Invalidity

If any portion of this Agreement is deemed unlawful, void or unenforceable by an arbitrator or a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Headings

The headings, subheadings and numbering of the different paragraphs of this Agreement are inserted for convenience and for reference only and shall not be considered for any purpose in construing this Agreement.

Amendments

All covenants, agreements, representations and warranties made in this Agreement, as may be amended by Lender411 from time to time, shall survive your acceptance of this Agreement and the termination of this Agreement.

Entire Agreement

This Agreement and Lender411's Privacy Policy located at: //lender411.com/privacy-policy/ contain the entire Agreement of the Parties, and supersede any prior written or oral agreements between them, concerning the subject matter of this Agreement.

Successors in Interest

Subject to any restrictions against assignment contained herein, and to any legal limitations on the power of the signatories to bind non-signatories to this Agreement, this Agreement shall inure to the benefit of, and shall be binding upon, the assigns, successors in interest, personal representatives, executors, estates, heirs, legatees, agents and related entities of each of the Parties

Voluntary Agreement

You represent and declare that you have carefully read this Agreement and know the contents thereof, and that you accept the same freely and voluntarily.
